Terms of service

1. Eligibility

You must:

• Be at least 18 years old or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into binding agreements.
• Not reside in any jurisdiction where participation in the Services would violate local laws or regulations.
• Not be sanctioned or restricted under applicable international sanctions laws.

We reserve the right to refuse access to any user at our sole discretion.

2. Nature of the services

PropFunding provides educational, analytical, simulated trading, evaluation, gamified trading, and performance-based reward services.

You expressly acknowledge and agree that:

• No live customer brokerage account is opened for you through the Services unless separately agreed in writing.
• Participation in evaluations, instant funding models, leaderboard systems, or simulated funded environments does not constitute: a bank account, investment account, securities offering, managed account, deposit product, collective investment scheme, commodity pool, or investment advisory relationship.
• All trading activity displayed through the Platform may be simulated, virtual, synthetic, internalized, mirrored, delayed, partially hedged, or otherwise non-executable in external financial markets.
• Any balances, metrics, rankings, or virtual assets displayed on the Platform are for platform utility, reward calculation, gamification, performance tracking, or internal accounting purposes only.
• Nothing on the Platform constitutes financial advice, investment solicitation, or a promise of future returns.

3. Simulated trading environment

You understand and agree that:

• Trading conditions may differ materially from real market conditions.
• Prices, spreads, execution speeds, slippage, liquidity, commissions, leverage, swap calculations, and volatility conditions may be simulated or modified.
• The Platform may utilize internal liquidity models, synthetic pricing engines, delayed feeds, virtual instruments, or proprietary execution methodologies.
• Displayed profits or losses are hypothetical unless explicitly stated otherwise.

We reserve the unrestricted right to:

• modify instruments,
• alter leverage,
• restrict symbols,
• close-only instruments,
• pause trading,
• cancel trades,
• adjust drawdown calculations,
• recalculate balances,
• modify execution logic,
• or suspend platform access at any time.

4. No guarantee of payouts or profit

Participation in the Services does not guarantee compensation, payouts, withdrawals, profit sharing, liquidity access, or account continuation.

All payouts, redemptions, rewards, credits, and distributions are discretionary and subject to:

• platform risk controls,
• fraud screening,
• liquidity conditions,
• reserve management,
• trading rule compliance,
• community pool availability,
• internal accounting reviews,
• and operational sustainability.

We reserve the absolute right to:

• delay,
• deny,
• reverse,
• offset,
• reduce,
• suspend,
• or cancel any payout or withdrawal request.

5. $PROP and virtual reward systems

The Platform may utilize virtual points, credits, utility balances, ecosystem units, leaderboard metrics, or reward assets including but not limited to “$PROP”.

You acknowledge that:

• $PROP is not legal tender.
• $PROP is not a cryptocurrency, security, commodity, investment contract, or financial instrument.
• $PROP has no guaranteed cash value.
• Any displayed conversion rate, redemption estimate, or utility valuation is discretionary and may change at any time.
• $PROP balances may expire, reset, adjust, burn, freeze, or be revoked without notice.

Users acquire only a limited, revocable, non-transferable license to use virtual assets within the Platform ecosystem.

We may modify or terminate the reward system entirely at any time.

6. Community pool and reward distribution models

Certain Services may utilize community-funded payout pools, dynamic reward allocation systems, leaderboard distributions, or ecosystem reserve mechanisms.

You expressly acknowledge that:

• reward calculations may fluctuate dynamically,
• payout ratios may vary,
• withdrawal caps may apply,
• redemptions may be limited during periods of elevated outflows or volatility,
• and the Platform may impose liquidity protection measures.

Any examples, illustrations, statistics, projections, or payout scenarios displayed on the Platform are hypothetical demonstrations only and do not constitute guarantees.

7. Prohibited conduct

Users may not:

• engage in latency abuse,
• exploit pricing errors,
• use arbitrage strategies against delayed feeds,
• manipulate platform systems,
• engage in collusion,
• hedge across multiple accounts,
• copy trade in prohibited ways,
• exploit bugs or vulnerabilities,
• use unauthorized automation,
• engage in market abuse,
• abuse promotional systems,
• impersonate others,
• use false KYC information,
• or attempt to reverse engineer the Platform.

We reserve sole discretion in determining prohibited activity.

Violation may result in:

• account suspension,
• balance removal,
• payout cancellation,
• permanent bans,
• legal action,
• or forfeiture of all platform benefits.

8. Intellectual property

All Platform content, software, systems, branding, pricing models, reward mechanisms, dashboards, APIs, interfaces, analytics, trading models, and documentation are owned by us or our licensors.

You may not:

• copy,
• resell,
• redistribute,
• scrape,
• reverse engineer,
• clone,
• white-label,
• or commercially exploit any portion of the Services without written permission.

9. Fees and payments

All fees paid to the Platform are:

• final,
• non-refundable,
• and earned upon purchase,

except where required by applicable law.

We reserve the right to:

• change pricing,
• modify fee structures,
• introduce new charges,
• or discontinue Services at any time.

Chargebacks, payment disputes, or fraudulent reversals may result in immediate termination of access.

10. KYC, AML, and compliance

We may require identity verification, proof of address, source-of-funds documentation, or enhanced due diligence at any time.

We reserve the unrestricted right to:

• refuse verification,
• suspend withdrawals,
• restrict jurisdictions,
• report suspicious activity,
• or terminate accounts for compliance reasons.

Completion of KYC does not guarantee access to Services or payouts.

11. Suspension and termination

We may suspend or terminate your access immediately, with or without notice, for any reason including:

• suspected abuse,
• regulatory concerns,
• operational risk,
• inactivity,
• reputational risk,
• system misuse,
• or breach of these Terms.

Upon termination:

• licenses granted to you immediately cease,
• virtual balances may be forfeited,
• and access to the Platform may be revoked permanently.

12. No fiduciary relationship

Nothing in these Terms creates:

• a fiduciary relationship,
• partnership,
• joint venture,
• agency relationship,
• employment relationship,
• brokerage relationship,
• or investment management arrangement.

You are an independent participant using the Platform at your own risk.

13. Assumption of risk

You acknowledge that participation involves substantial risk, including but not limited to:

• financial loss,
• technical failures,
• pricing errors,
• outages,
• liquidity events,
• delayed withdrawals,
• market volatility,
• software vulnerabilities,
• and complete loss of virtual balances or platform access.

You assume full responsibility for all risks associated with use of the Services.

14. Disclaimer of warranties

The services are provided “as is” and “as available”.

To the maximum extent permitted by law, we disclaim all warranties, including:

• merchantability,
• fitness for a particular purpose,
• non-infringement,
• accuracy,
• reliability,
• continuous availability,
• and freedom from errors or interruptions.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

15. Limitation of liability

To the maximum extent permitted by law:

Our total liability arising out of or relating to the services shall not exceed the total fees paid by you to the platform during the three (3) months preceding the claim.

We shall not be liable for:

• indirect damages,
• lost profits,
• loss of data,
• business interruption,
• reputational harm,
• loss of opportunity,
• or consequential damages.

This limitation applies regardless of legal theory.

16. Indemnification

You agree to defend, indemnify, and hold harmless PropFunding, its affiliates, directors, officers, contractors, licensors, and partners from any claims, liabilities, damages, costs, or expenses arising from:

• your use of the Services,
• your breach of these Terms,
• your violation of law,
• or your misuse of the Platform.

17. Regulatory position

The Services are intended solely for educational, analytical, gamified, evaluation, and simulated performance purposes.

Nothing within the Platform should be interpreted as:

• regulated investment activity,
• securities dealing,
• portfolio management,
• investment advisory services,
• deposit-taking,
• or solicitation of investments.

Users are solely responsible for determining whether use of the Platform is lawful in their jurisdiction.

18. Modifications to the services or terms

We reserve the right to:

• modify these Terms,
• change Platform mechanics,
• alter payout models,
• discontinue features,
• suspend programs,
• or restructure the ecosystem,

at any time and without liability.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

19. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of Saint Vincent and the Grenadines, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved exclusively through confidential binding arbitration in Saint Vincent and the Grenadines, unless otherwise required by applicable law.

Users waive any right to participate in class actions, representative proceedings, or jury trials.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire agreement

These Terms constitute the entire agreement between you and PropFunding regarding the Services and supersede all prior understandings, communications, or agreements.
